Recognized Environmental Conditions: RECs, HRECs, and CRECs Explained

Every Phase I Environmental Site Assessment (ESA) ends in a classification decision. The Environmental Professional reviews the records, walks the site, conducts the interviews, and then assigns each finding to a category defined by ASTM E1527-21: a Recognized Environmental Condition (REC), a Historical Recognized Environmental Condition (HREC), or a Controlled Recognized Environmental Condition (CREC).

Those three labels look similar on paper. In a transaction, they behave very differently. A REC can pause a closing. An HREC usually does not. A CREC transfers continuing obligations to the buyer that outlive the deal. Misclassification at the Phase I stage drives downstream cost, liability exposure, and financing friction, which is why buyers, lenders, and counsel benefit from understanding what each category actually means.

Recognized Environmental Condition Defined Under ASTM E1527-21

Under ASTM E1527-21, a REC is the presence or likely presence of hazardous substances or petroleum products in, on, or at a property due to a release to the environment, a likely release to the environment, or a material threat of a future release to the environment.

Three elements of that definition matter in practice.

First, "likely presence" means the Environmental Professional does not need confirmed sampling data to identify a REC. A former dry cleaner with documented solvent use, an unregistered underground storage tank, or a floor drain in a historical machine shop can support a REC finding based on records and reconnaissance alone.

Second, "material threat" captures conditions that have not yet released but plausibly could, such as a deteriorating aboveground storage tank positioned above unprotected soil.

Third, the definition is tied to releases to the environment. Conditions fully contained inside a building, with no pathway to soil, groundwater, or the broader environment, generally fall outside the REC definition, though they may still appear in the report as other findings.

The 2021 revision of the standard sharpened these definitions and clarified how the categories relate to each other, which is one reason reports prepared under the prior 2013 standard should not be recycled into current transactions without review.

Historical Recognized Environmental Condition (HREC) Criteria

An HREC is a past release that has been addressed to the satisfaction of the applicable regulatory authority and meets unrestricted use criteria, with no required controls of any kind.

The unrestricted use element is the dividing line. To qualify as an HREC, the past release must have been cleaned up to standards that allow any future use of the property, with no engineering controls, no institutional controls, and no continuing obligations. A leaking underground storage tank that was removed, with confirmatory sampling demonstrating attainment of unrestricted use standards and a regulatory closure letter in the file, is the classic HREC.

For a buyer, an HREC is largely informational. The condition existed, it was resolved, and nothing about it restricts the property today. Two diligence steps still apply. The closure documentation should be located and reviewed, because an HREC classification depends on it. And the Environmental Professional must evaluate whether regulatory criteria have changed since closure, because a condition closed under older, less stringent standards may no longer qualify.

Controlled Recognized Environmental Condition (CREC) Criteria

A CREC is a past release that has been addressed to the satisfaction of the applicable regulatory authority, with contamination allowed to remain in place subject to required controls.

The controls are what distinguish a CREC from an HREC. A site remediated to risk-based commercial standards, closed with a cap over residual soil contamination and a deed restriction limiting the property to nonresidential use, is a CREC. In New Jersey, this profile matches a restricted use or limited restricted use Response Action Outcome (RAO) with a Deed Notice, engineering controls, and biennial certification obligations filed with the New Jersey Department of Environmental Protection (NJDEP).

For a buyer, a CREC means continuing obligations transfer with the property. The buyer inherits the duty to maintain engineering controls, comply with institutional controls, and file required certifications. Lenders and equity partners underwrite these obligations, and the operation and maintenance costs belong in the hold-period budget. A CREC also constrains redevelopment: converting a capped commercial site to residential use, for example, reopens the remediation question entirely.

REC, HREC, and CREC Side by Side

The practical differences compress into four questions.

Is there a current or threatened release? A REC answers yes. An HREC and a CREC both answer no, because the release is in the past and has been addressed.

Was the past release cleaned to unrestricted use? An HREC answers yes. A CREC answers no, because contamination remains in place under controls.

Do obligations transfer to the buyer? A REC transfers uncertainty, which the deal must price or resolve. An HREC transfers essentially nothing. A CREC transfers defined continuing obligations that run with the land.

Does the classification affect financing? A REC frequently pauses underwriting until it is characterized or structured around. An HREC rarely affects financing. A CREC is generally financeable, with lenders reviewing the controls, the compliance history, and the cost of ongoing obligations.

How REC Findings Drive Phase II and Remediation Decisions

A REC finding is not a directive. It is a professional identification of a condition that warrants attention, and the response is a business decision made by the buyer with counsel and, where applicable, the lender.

The most common response is a Phase II Environmental Site Assessment under ASTM E1903, scoped to the specific REC. Targeted soil borings at a former tank location, groundwater samples downgradient of a suspected source, or sub-slab vapor points beneath a former dry cleaner convert the "likely presence" of the Phase I into data. That data either clears the condition, quantifies a manageable issue, or reveals a problem that changes the deal.

Other responses are available. Buyers renegotiate price against estimated remediation cost, obtain environmental insurance sized to the identified conditions, restructure the transaction to shift risk, or terminate under an environmental contingency. The quality of the Phase I drives the efficiency of everything downstream. A precisely described REC produces a tightly scoped Phase II. A vague REC produces an expensive one.

Common REC Misclassifications and Their Consequences

Several misclassification patterns recur in Phase I reports, and each carries a cost.

Classifying a CREC as an HREC understates the buyer's obligations. The buyer closes without budgeting for control maintenance and biennial certifications, discovers the obligations after closing, and in the worst case faces enforcement or RAO invalidation for lapsed compliance.

Classifying an HREC as a REC overstates risk. The deal absorbs an unnecessary Phase II, the schedule slips, and in some cases the transaction loses momentum over a condition that was properly closed years earlier.

Missing the changed-standards question converts old closures into current problems. Conditions closed under criteria that have since tightened, including for contaminants whose standards have evolved substantially, may no longer support an HREC classification. A report that recycles a prior classification without evaluating current criteria misses this.

Treating a de minimis condition as a REC clutters the report and dilutes attention from the findings that matter. ASTM E1527-21 recognizes de minimis conditions as those that do not present a threat and would not be subject to enforcement, and they belong outside the REC categories.

The common thread is that classification is professional judgment applied to evidence, and the judgment is only as good as the historical research and site reconnaissance behind it.
